LICENSE 1. The Rovira i Virgili University (hereafter, URV), holder of tax identification number Q-93.50.003-A, based in Tarragona, Spain at C/ Escorxador, s/n, hereby grants a free non-exclusive non-transferable license for the TOPD/FMTS software - SOFTWARE - to you, a representative of an academic/non-profit research organisation - RECIPIENT. 2. This licence is for scientific non-profit and non-commercial use only. Any other use and use of modifications of this software for other purposes, alone or integrated into other software, requires the prior consent of the author and URV that may demand compensation from the RECIPIENT for uses other than those granted in this licence. 3. The RECIPIENT agrees to use the SOFTWARE for internal non-commercial research purposes only, and shall not distribute or transfer the SOFTWARE, alone or integrated into other software, to anyone not under the Recipient Scientist's direct supervision or beyond the Recipient Scientist's laboratory without the prior consent of the author and URV. 4. The SOFTWARE is provided as-is without any warranty of any kind. The author and URV do not assume any liability for damages occurring through the use of the SOFTWARE, any responsibility for any errors and for the RECIPIENT being misled by any results they obtain when using the SOFTWARE. 5. In any publications resulting from the SOFTWARE the RECIPIENT will properly cite by the appropriate reference and the version number of the SOFTWARE. 6. This agreement is subject to Spanish law. 7. In case of conflict deriving from this license, both parties agree to submit to the institutional arbitration of the Tribunal Arbitral de Tarragona (Arbitration Court of Tarragona) of the Associació per a l'Arbitratge a Tarragona (Arbitration Association of Tarragona), which will be responsible for designating an arbiter or arbiters and for administrating the arbitration, and to accept the arbitration decision. Decisions will be taken and formalities will be carried out in the city of Tarragona.
